1. Agreement and covered software
This Software End User License Agreement (“EULA”) is an agreement between you and Ghost Kitchen. It applies to software, installers, applications, launchers, updates, documentation, and bundled content that Ghost Kitchen distributes and identifies as subject to this EULA (collectively, the “Software”). Covered products include Pivox, Mapper, Skin, and the Ghost Kitchen launcher.
By downloading, installing, copying, or using the Software, you agree to this EULA and the Terms of Use. If you do not agree, do not download, install, or use the Software and remove any copies in your control.
If you received the Software through a storefront or testing platform, that platform’s usage rules also apply. This EULA is between you and Ghost Kitchen, not the storefront operator, unless the storefront expressly says otherwise.
2. License grant
Subject to this EULA and any plan, seat, preview, or purchase terms presented with the Software, Ghost Kitchen grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control for its intended purpose.
Pivox, Mapper, and Skin may be used to create personal or commercial output unless a specific edition is labeled for non-commercial evaluation only.
The Software is licensed, not sold. No title or ownership in the Software transfers to you.
3. License restrictions
Except where this EULA, an open-source license, or applicable law expressly allows it, you may not:
- copy, sell, rent, lease, sublicense, publish, distribute, or commercially host the Software;
- circumvent license checks, authentication, access controls, content protections, rate limits, or security features;
- modify, translate, reverse engineer, decompile, disassemble, derive source code from, or create derivative works of the Software;
- extract or redistribute bundled artwork, models, textures, audio, data, or other content separately from the Software;
- use the Software to cheat, manipulate transactions or metrics, operate an unauthorized service, or interfere with another user or system;
- remove copyright, trademark, attribution, provenance, or other proprietary notices;
- use the Software or its output to train a generative model on Ghost Kitchen or third-party content without express written permission; or
- use the Software in violation of law, the Terms of Use, or applicable product rules.
4. Your files and creative output
As between you and Ghost Kitchen, you own the original models, textures, materials, project files, and other creative output you make with Pivox, Mapper, or Skin, subject to rights in any source material, fonts, templates, sample assets, or third-party content you use. Using the Software does not give Ghost Kitchen ownership of your output.
Keep your own backups and exported source files. Pre-release Software may change file formats, corrupt files, reset settings, or fail to open data created by another build. We may provide migration tools, but we do not guarantee perpetual compatibility.
If you choose to submit output to the Asset Store or another Ghost Kitchen publishing program, the applicable submission agreement governs that submission. Mere creation or local storage does not grant us a content license beyond what is technically necessary to provide an enabled cloud feature you choose to use.
5. Bundled and sample content
Ghost Kitchen and its licensors retain ownership of content included with the Software. Unless a separate content license says otherwise, you may use templates, brushes, primitives, or sample assets only inside the Software for learning, testing, and creating output; you may not extract, resell, or distribute them as standalone assets.
Templates, samples, fonts, models, textures, and other bundled content are licensed only for the uses described with that content or reasonably necessary to use the Software. They may not be extracted and resold as standalone assets unless their separate license permits it.
6. Accounts and connected services
Some Software requires an account, network connection, compatible service version, or authorized device. Online features are governed by the Terms of Use and Privacy Notice. You are responsible for network access, compatible hardware, and the security of your device and credentials.
Connected features may transmit account, device, build, gameplay, project, security, error, and diagnostic information as described in the Privacy Notice. Do not connect the Software if you do not agree to those practices.
7. Updates and compatibility
We may release patches, upgrades, content, or replacement versions. Updates may be required for security, compatibility, account access, multiplayer use, publishing, or continued operation. An update may add, remove, or change features.
This EULA applies to updates unless a new agreement accompanies them. We are not obligated to maintain a particular operating system, device, file format, server protocol, storefront, or prior version indefinitely.
8. Preview and playtest software
Software labeled alpha, beta, preview, development, prototype, or playtest is unfinished and may be unstable. It may crash, lose data, reset progress, contain security or performance defects, and stop working when a test ends. Use it only for evaluation and testing unless we expressly authorize another use.
Preview access may be invitation-only, time-limited, confidential when expressly marked, and subject to additional test instructions. We may revoke access, require deletion, or reset data when reasonably necessary to operate or close the test.
9. Feedback
If you voluntarily send ideas, bug reports, suggestions, or other feedback about the Software, you grant Ghost Kitchen a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, and otherwise exploit that feedback without restriction or compensation.
This feedback license does not transfer ownership of your project files, creative output, or work submitted under a separate publishing agreement.
10. Open-source and third-party components
The Software may include open-source or third-party components. Notices and licenses may appear in the distribution, documentation, repository, or an in-app notices view. The applicable third-party license controls for its component, including any rights that differ from this EULA.
Third-party assets and services may have separate license limits. You are responsible for reviewing those terms before redistributing output that contains third-party material.
11. Term and termination
This EULA continues until terminated. You may terminate it by stopping use and deleting all copies of the Software in your control. Your license ends automatically if you materially breach this EULA, subject to any notice or cure right required by law.
When the license ends, you must stop using and delete the Software. Sections concerning ownership, restrictions, feedback, disclaimers, liability, and provisions that by their nature should survive will remain in effect. Termination does not take ownership of your original creative output.
12. Trade and export compliance
You may not export, re-export, download, or use the Software in violation of applicable export controls, sanctions, or trade restrictions. You represent that you are not prohibited from receiving the Software under laws that apply to you or Ghost Kitchen.
13. Warranty disclaimer
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. GHOST KITCHEN DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, AVAILABLE, COMPATIBLE, OR SUITABLE FOR PRODUCTION USE, OR THAT FILES OR PROGRESS WILL NOT BE LOST.
Some jurisdictions do not allow particular warranty exclusions. The exclusions apply only to the extent permitted, and any required statutory warranty remains in effect for the minimum required period.
14. Limits of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GHOST KITCHEN AND ITS TEAM, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF CREATIVE WORK, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SOFTWARE.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID GHOST KITCHEN FOR THE SOFTWARE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply where prohibited, including liability that cannot lawfully be limited for fraud, willful misconduct, death, personal injury, or violation of non-waivable consumer rights.
15. General terms and contact
You may not transfer this EULA or the Software license without our written consent. We may assign it as part of a reorganization, financing, merger, acquisition, or transfer of the relevant business. If one provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. A delay in enforcement is not a waiver.
We may update this EULA for future downloads, installs, updates, or connected use. If a material update applies to Software you already use, we will provide notice through the Software, download flow, account, or website when required.
